Gryd Terms of Service and Privacy Policy

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM.

By creating an account, accessing, or using the Gryd website, mobile applications, software, tools, communications, or related services, collectively the “Platform,” you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and Privacy Policy. If you do not agree, you must not create an account, access, or use the Platform.

These Terms of Service and Privacy Policy are intended as a business and legal rough draft and should be reviewed by a licensed attorney before publication or enforcement.

Terms of Service

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Gryd, the business entity operating the Platform, referred to in these Terms as “Gryd,” “we,” “us,” or “our.”

You agree to these Terms when you create an account, access the Platform, use the Platform, submit content, communicate with other users, participate in referrals, coordinate projects, process payments, or otherwise use any feature of the Platform.

Your use of the Platform is also subject to our Privacy Policy, which explains how we collect, use, share, store, and protect information. By using the Platform, you acknowledge that you have read and understood the Privacy Policy.

2. Changes to These Terms

Gryd may update, revise, or modify these Terms or the Privacy Policy from time to time.

If we make material changes, we may provide notice through the Platform, by email, by account notice, or by another reasonable method. Some changes may take effect immediately where required by law, where necessary for security, where related to new features, or where immediate changes are reasonably necessary to protect Gryd, users, businesses, customers, or the Platform.

Changes will not be retroactive unless required by law. If you do not agree to updated Terms, you must stop using the Platform and may close your account where account closure is available. Your continued use of the Platform after updated Terms are posted or otherwise provided means that you accept the updated Terms as of their effective date.

3. Eligibility, U.S. Residency, Age Restrictions, and Restricted Industries

The Platform is currently designed, operated, and made available only for users who are at least 18 years old and who are United States citizens or current United States residents physically residing in the United States.

Gryd’s compliance, verifications, payment system, business portal, and workflows are currently designed around United States law and United States-based business activity. For that reason, users outside the United States, and users who are not United States citizens or current United States residents, are not authorized to create an account, access the Platform, or use the Platform at this time.

Businesses using Gryd must operate lawfully in the United States and must provide accurate, complete, and current information concerning their identity, ownership, business activities, licenses, registrations, and products or services

Gryd uses Stripe to provide certain payment and payment-related functionality. Businesses that use these features may be required to create, connect, and maintain their own Stripe account and to complete Stripe's identity, business, ownership, banking, licensing, and other verification requirements. A business's use of Stripe is also subject to Stripe's applicable agreements, policies, prohibited and restricted business requirements, and continuing eligibility determinations.

Approval, verification, or continued service by Stripe does not guarantee eligibility to use Gryd. Gryd maintains its own business eligibility requirements and may impose restrictions that are more restrictive than Stripe's requirements.

Businesses Not Supported at Launch: Until further notice, Gryd does not support businesses whose primary activities involve any of the following:

  • Cannabis, marijuana, THC, CBD, cannabis cultivation, or cannabis-related products or services.
  • Gambling, wagering, lotteries, prize-based gaming, sweepstakes, betting, fantasy sports with monetary or material prizes, or similar activities.
  • Cryptocurrency, cryptocurrency exchanges or wallets, cryptocurrency mining or staking, NFTs, virtual currencies, or similar digital-asset businesses.
  • Money transmission, remittances, currency exchange, check cashing, money orders, traveler's checks, stored-value products, or similar money-services businesses.
  • Firearms, ammunition, regulated firearm components or accessories, suppressors, or other regulated weapons.
  • Prostitution, brothels, escort services, sexual services, pornography, sexually explicit content or services, or other adult businesses.
  • Tobacco, nicotine products, electronic cigarettes, vaping products, or related regulated products.
  • Prescription pharmaceuticals, online pharmacies, prescription delivery, regulated medical devices, telemedicine, or telehealth services.
  • Lending, credit repair, debt settlement, investment or brokerage services, escrow services, mortgage services, or other regulated financial services.
  • Crowdfunding or fundraising activities requiring regulatory or payment-provider approval.
  • Any business, product, or service that is illegal, fraudulent, deceptive, counterfeit, infringing, predatory, or otherwise prohibited by applicable law, Gryd policy, Stripe policy, or applicable payment-network requirements.

This list is not exhaustive. Gryd may determine that another industry, business model, product, or service presents legal, regulatory, financial, safety, fraud, or payment-processing concerns and may refuse or discontinue service accordingly.

Stripe and Connected Account Responsibility

Each business is responsible for the accuracy of information submitted to Stripe and for maintaining its own eligibility to use Stripe.

Stripe may independently approve, reject, restrict, suspend, investigate, or terminate a connected Stripe account. Gryd does not control Stripe's eligibility determinations and does not guarantee that a business will obtain or retain Stripe services.

A business must promptly resolve any verification, compliance, licensing, ownership, identity, banking, or business-model requirements requested by Stripe. Gryd may restrict payment functionality or access to other Platform features while such requirements remain outstanding.

Gryd may reject a business, prevent it from enabling payment functionality, restrict or suspend its account, or terminate access to the Platform if Gryd or Stripe determines that the business is prohibited, restricted, unsupported, misrepresented, unlicensed where licensing is required, or otherwise creates unacceptable legal, regulatory, fraud, financial, or safety risk.

Businesses may not attempt to evade these restrictions by mischaracterizing their business, products, services, ownership, transaction purpose, or industry.

These restrictions apply even where the applicable activity may otherwise be lawful in a particular state or jurisdiction.Gryd may determine, in its reasonable discretion, whether a business falls within a restricted category. Gryd may reject registration, restrict Platform functionality, disable payment features, suspend an account, or terminate an account where a business falls within one of these categories. These restrictions reflect Gryd’s current legal, compliance, payment-processing, and operational requirements and may be revised as Gryd obtains additional legal and regulatory guidance. A change in applicable law or in Gryd's policies does not automatically make a restricted business eligible to use the Platform. Eligibility resumes only if Gryd expressly changes these Terms or otherwise authorizes the applicable business category.

Business Restrictions Apply to All Users and Account Types

The restrictions described in these Terms apply to all users of Gryd, including businesses, individual users, customers, creators, influencers, promoters, contractors, representatives, and any other person or entity using the Platform, regardless of whether the user identifies or registers as a business.

A user may not use Gryd to advertise, promote, market, endorse, solicit, refer customers to, facilitate, organize, distribute, monetize, raise funds for, or otherwise materially support any business, product, service, investment, transaction, or activity that Gryd prohibits or does not support.

These restrictions apply even when the user does not directly sell the prohibited or restricted product or service and even when the user characterizes their activity as commentary, education, entertainment, sponsorship, affiliate marketing, content creation, personal opinion, or similar activity.

For example, an individual account may not use Gryd to promote or facilitate cryptocurrency investments, token offerings, gambling or wagering services, prohibited financial products, cannabis-related businesses, prohibited weapons businesses, adult services, or other activities prohibited under these Terms merely by stating that the user is not a business or by using disclaimers such as "not financial advice."

Gryd may consider the substance and practical purpose of a user's activity rather than the account label, disclaimer, occupation, or description selected by the user. Attempts to disguise, mischaracterize, restructure, or route prohibited activity through an individual, creator, customer, affiliate, referral, or other account may result in restriction, suspension, or termination of the account.

Gryd may also restrict or terminate an account when the user's activity creates legal, regulatory, fraud, financial, safety, payment-processing, or reputational risk to Gryd, Stripe, other payment providers, other users, or third parties.

By creating an account, accessing the Platform, or using the Platform, you represent and warrant that:

You are at least 18 years old; You are a United States citizen or a current United States resident; You are currently physically residing in the United States; You have the full legal capacity to enter into these Terms; You are not prohibited, restricted, suspended, or previously removed from using the Platform; You are using the Platform for legitimate business, customer, referral, project coordination, networking, or related purposes.

Gryd does not knowingly permit use by individuals under 18. Any use by a person under 18 is unauthorized and in violation of these Terms. We reserve the right to suspend or terminate any account suspected of being used by a person under 18.

Parents and legal guardians are responsible for supervising and preventing unauthorized access by minors. You agree to indemnify Gryd against any claims, damages, or liabilities arising from a minor’s unauthorized use of the Platform facilitated by you.

Gryd may suspend, restrict, or terminate accounts if we believe a user is located outside the United States, is not a United States citizen or current United States resident, is not currently physically residing in the United States, or has provided false or misleading eligibility information.

4. Your Account

You are responsible for maintaining the confidentiality and security of your account credentials.

You agree that:

You will provide accurate identity, contact, profile, business, and account information;

You will keep your account information reasonably accurate and up to date;

You will not create an account using false, misleading, incomplete, or unauthorized information;

You will not create duplicate buiness accounts in order to unfairly game the Gryd system, each business is only allowed three Gryds per business, any more Gryd's than that will only be allowed if there is a feature update.

You will not create an account for another person unless you are legally authorized to do so and the account type permits it;

You will not share, sell, transfer, rent, license, or assign your account to another person or business without Gryd’s prior written consent;

You will use reasonable security practices, including protecting your password and promptly notifying Gryd of unauthorized access or suspected misuse;

You are responsible for activity that occurs through your account unless you have properly closed the account or promptly reported unauthorized use.

As between you and others, your individual user account belongs to you. However, if an account, business profile, organization profile, project workspace, payment feature, or business-related access is created, managed, paid for, or controlled by a business or organization, that business or organization may have rights to manage or restrict access to its own business profile, organization profile, project information, business data, or related Platform features, subject to applicable law and these Terms.

5. Business Account Verification

You represent and warrant that:

You are the owner or an authorized representative of the business entity associated with your account;

You have authority to create, manage, claim, verify, or act on behalf of the business or organization you represent;

All business information provided is accurate, current, and complete;

You will not impersonate any person, business, organization, employee, contractor, representative, or entity;

You will not misrepresent your affiliation with any business or organization.

Gryd reserves the right to verify business information and to suspend, restrict, or permanently terminate accounts that violate this section.

Gryd may rely on information submitted by users, businesses, third-party service providers, payment processors, identity verification providers, public records, documents, or other reasonable sources to evaluate business ownership, authorization, eligibility, or compliance. Gryd does not guarantee that any verification badge, verification result, business profile, user profile, or account status is complete, accurate, current, or free from error.

6. Organization, Employee, and Project Coordination Relationships

Gryd may provide features that allow businesses, organizations, individuals, employees, contractors, customers, or authorized representatives to coordinate projects, jobs, services, referrals, estimates, schedules, communications, and related business activities.

Gryd is not a hiring platform, employment agency, staffing agency, human resources platform, job board, recruiting service, or payroll provider. The Platform is not intended to host or facilitate job applications, employment applications, recruiting campaigns, applicant screening, background checks, hiring decisions, employee onboarding, payroll administration, or human resources administration.

By interacting with a business or organization through any organization-to-individual, business-to-individual, employee, contractor, project, job, scheduling, or coordination feature on the Platform, you acknowledge and agree that:

The relationship is intended solely for project coordination, work coordination, service coordination, scheduling, referrals, estimates, communications, or other legitimate business coordination purposes;

You are not using the Platform to submit or process a job application unless Gryd has expressly authorized that feature in writing;

Any request to join, participate in, coordinate with, or communicate with a business or organization through the Platform is presumed to involve an existing business, employment, contractor, representative, vendor, customer, or other authorized relationship with that organization;

Gryd does not verify employment status, contractor status, authorization to work, professional qualifications, licenses, background information, or eligibility for any job, role, project, or business opportunity unless expressly stated otherwise;

Gryd is not responsible for any employment decision, hiring decision, termination, wage dispute, labor dispute, workplace issue, contractor classification issue, tax obligation, insurance obligation, or legal obligation arising between users, businesses, organizations, employees, contractors, customers, or third parties.

Businesses and organizations are solely responsible for complying with all applicable employment, labor, tax, licensing, insurance, workplace safety, contractor classification, anti-discrimination, wage and hour, and human resources laws. Users are solely responsible for ensuring that they have proper authorization to act on behalf of, communicate with, or coordinate with any business or organization through the Platform.

Gryd reserves the right to remove, restrict, suspend, or terminate any account, content, communication, project, request, or activity that appears to use the Platform as an unauthorized hiring, recruiting, job application, staffing, employment, or human resources system.

7. Sharing, Visibility, and User Content

The Platform allows users, businesses, and customers to share information, including profiles, business details, posts, comments, messages, referrals, project information, scheduling information, images, documents, and other content.

Depending on the feature used and the privacy or visibility settings available, information you share may be visible to other users, businesses, customers, organizations, or authorized participants. You are responsible for understanding the audience and visibility of the information you choose to share.

Where Gryd makes privacy, visibility, account, business, or communication settings available, Gryd will make reasonable efforts to honor those settings. However, no setting, feature, or technical system is guaranteed to prevent all access, copying, sharing, screenshots, misuse, or disclosure by other users or third parties.

You acknowledge that other users may view, copy, save, screenshot, quote, report, or misuse information that you choose to share. Gryd is not responsible for another user’s unauthorized copying, misuse, disclosure, or distribution of information that you make available through the Platform, except to the extent required by applicable law.

Gryd is not obligated to publish, display, store, maintain, preserve, or continue showing any content or information submitted by users. Gryd may remove, restrict, limit, label, disable, or refuse to display content or information, with or without notice, if we believe it violates these Terms, violates law, creates risk, may harm users or Gryd, or may interfere with the intended operation of the Platform.

8. User Content License

As between you and Gryd, you retain ownership of your original content that you submit, post, upload, share, transmit, or otherwise make available through the Platform.

By submitting content to the Platform, you grant Gryd a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, copy, display, publish, distribute, transmit, reproduce, process, adapt, format, modify for technical purposes, and otherwise use your content as reasonably necessary to operate, provide, secure, moderate, promote, improve, and enforce the Platform and these Terms.

This license includes the right to:

Display your content to the audience permitted by the applicable Platform feature or your selected visibility settings;

Store and process your content for Platform functionality, moderation, security, compliance, support, and backup purposes;

Make technical changes to your content, such as formatting, resizing, compression, file conversion, metadata changes, previews, thumbnails, or layout adjustments;

Use your business name, username, profile image, business profile, or related content within the Platform to identify your account, business, profile, posts, referrals, projects, or activity;

Use feedback, suggestions, comments, or ideas you submit about Gryd or the Platform without obligation to compensate you.

You represent and warrant that:

You own or have all necessary rights, licenses, permissions, and authority to submit your content;

Your content is truthful to the best of your knowledge where presented as factual;

Your content does not violate applicable law, these Terms, intellectual property rights, privacy rights, publicity rights, contractual rights, confidentiality obligations, or other rights of any person or entity.

You may delete certain content or close your account where those features are available. However, content may continue to exist for a reasonable period in backups, logs, archives, reports, legal records, dispute records, security records, or systems where deletion is not technically immediate. Content may also remain visible if it was shared with others, copied by others, included in communications, retained for legal compliance, or otherwise preserved as permitted by law and these Terms.

9. Feedback

If you submit suggestions, ideas, comments, improvements, feature requests, business feedback, design suggestions, bug reports, or other feedback to Gryd, you agree that Gryd may use, modify, develop, publish, share, commercialize, or otherwise exploit that feedback for any purpose without compensation, attribution, approval, or obligation to you.

You agree that feedback is provided voluntarily and does not create any confidentiality, fiduciary, ownership, compensation, partnership, employment, or agency relationship between you and Gryd.

10. User Conduct and Prohibited Activities

You agree not to:

Create false, misleading, or fraudulent accounts;

Impersonate any person, business, organization, employee, contractor, representative, or entity;

Misrepresent your identity, business affiliation, authorization, location, residency, citizenship, age, eligibility, or authority to use the Platform;

Use or attempt to use another user’s account;

Share login credentials, session information, cookies, or other access methods with unauthorized persons;

Engage in unlawful, fraudulent, deceptive, abusive, exploitative, discriminatory, or harmful activity;

Harass, threaten, stalk, intimidate, exploit, or intentionally target other users;

Post, send, or share content that contains true threats, credible threats of violence, unlawful harassment, extortion, blackmail, doxxing, non-consensual intimate content, child sexual abuse material, or content that encourages or facilitates criminal activity;

Use the Platform to plan, promote, coordinate, or carry out criminal activity;

Post content that is defamatory, libelist, sexually exploitative, sexually abusive, sexually harassing, or other forms of harassing, or otherwise unlawful;

Use abusive, hostile, degrading, or disruptive language in a way that harasses a user or interferes with another user’s ability to safely or reasonably use the Platform;

Use our support ticket system to repetitively complain about user(s) who have clearly not violated our terms, not all language or content rises to the level of criminality.

Repeatedly contact, message, pressure, solicit, or target another user after being asked to stop;

Disclose confidential information, trade secrets, private business information, private personal information, or information you do not have permission to disclose;

Violate the intellectual property, privacy, publicity, contractual, business, or other rights of Gryd, users, businesses, customers, or third parties;

Post, upload, transmit, or distribute viruses, worms, malware, spyware, harmful code, corrupted files, phishing links, malicious links, or other harmful technology;

Attempt to reverse engineer, decompile, disassemble, decipher, copy, or derive source code, systems, features, algorithms, non-public APIs, or technology used by the Platform, except to the extent such restriction is prohibited by law;

Attempt to circumvent any security features, account restrictions, verification systems, access controls, rate limits, search limits, privacy settings, or Platform limitations;

Interfere with, disrupt, overload, attack, degrade, manipulate, or impair the Platform, including through denial-of-service attacks, spam, fake engagement, automated traffic, or other abusive activity;

Use bots, scripts, crawlers, scrapers, browser extensions, plugins, add-ons, artificial intelligence agents, automated tools, or other unauthorized methods to access, copy, extract, monitor, analyze, message, post, comment, follow, like, scrape, or otherwise interact with the Platform;

Frame, mirror, simulate, overlay, modify, obscure, or alter the appearance or functionality of the Platform without Gryd’s prior written consent;

Use the Platform to transmit spam, phishing attempts, unsolicited commercial communications, scams, or harmful code;

Use the Platform to host, solicit, process, or manage job applications, employment applications, recruiting campaigns, applicant screening, background checks, payroll, or human resources administration unless expressly authorized by Gryd in writing;

Use the Platform to mine, scrape, harvest, sell, license, broker, transfer, or commercially exploit user data, customer data, business data, profile data, referral data, communications, or Platform information without Gryd’s prior written consent;

Rent, lease, loan, sell, resell, sublicense, commercialize, or otherwise monetize access to the Platform or Platform data without Gryd’s prior written consent;

Misuse reporting, complaint, appeal, support, verification, or enforcement systems, including by submitting false, duplicative, fraudulent, abusive, or bad-faith reports.

Gryd recognizes that online speech can involve context, opinion, humor, disagreement, criticism, frustration, or poor judgment. Not all offensive, rude, insulting, or inappropriate language is necessarily criminal. However, Gryd may still moderate, restrict, remove, or act on content or conduct that we determine, in our discretion, violates these Terms, creates safety concerns, disrupts the Platform, targets other users, damages the business community, exposes Gryd or users to legal risk, or interferes with the intended use of the Platform.

Violation of these rules may result in content removal, account restrictions, feature limits, suspension, termination, referral to law enforcement where appropriate, or other action available under these Terms or applicable law.

11. Data Mining, Scraping, and Unauthorized Commercial Use of Platform Data

Gryd is a private business networking, referral, and customer-to-business relationship platform. By creating an account or using the Platform, you agree that you are accessing Gryd solely for legitimate use of the Gryd networking, referral, business marketing, customer engagement, and relationship management features provided by the Platform.

You may not access, collect, scrape, mine, copy, harvest, extract, aggregate, download, sell, license, transfer, or otherwise exploit any user data, profile data, business data, customer data, referral data, communications, Platform information, or other Platform content for any unauthorized purpose.

Without Gryd’s prior written consent, you may not:

Use automated tools, bots, crawlers, scrapers, spiders, scripts, browser extensions, artificial intelligence systems, plugins, add-ons, or other data extraction methods to collect or analyze Platform data;

Use Platform data to create, train, improve, test, validate, or support any third-party database, directory, lead list, artificial intelligence model, analytics product, marketing list, data broker product, or competing service;

Copy, use, display, distribute, disclose, or commercialize information obtained from the Platform without authorization from Gryd and, where applicable, the person or business that owns or controls the information;

Sell, rent, license, disclose, transfer, or otherwise provide Platform data to any unaffiliated third party;

Use customer, user, business, or profile information obtained through the Platform for unsolicited marketing, spam, data brokerage, profiling, surveillance, competitive intelligence, or off-platform commercial solicitation;

Access the Platform primarily for surveillance, competitive intelligence, data harvesting, or any purpose unrelated to genuine participation in Gryd’s networking, referral, and customer-to-business relationship services.

All Platform data is provided solely for the purpose of enabling authorized users to participate in Gryd’s business networking, referral, project coordination, and customer-to-business relationship features. Any unauthorized collection or commercial use of Platform data is strictly prohibited and may result in account suspension, termination, legal action, and any other remedies available under applicable law.

You acknowledge and agree that Gryd’s user, customer, business, referral, and Platform data are valuable proprietary assets of Gryd and/or its users, and that unauthorized access, extraction, sale, or misuse of such data may cause irreparable harm to Gryd, its users, and its business community.

12. Payments and Fees

Gryd charges each user $7.00 for Stripe Identity Gold Verification. This fee includes access to a maximum of three verification attempts, together with the verification, processing, administrative, security, and Platform services associated with the Gold Verification process. Payment of the verification fee does not guarantee successful verification or issuance of a Gold Verification badge.

Gryd charges a non-refundable platform transaction fee equal to one percent (1%) of every payment successfully processed through the Platform, including each separate payment-plan installment. Third-party payment-processing fees, including fees charged by Stripe, are separate from the Gryd platform transaction fee and may also apply. The allocation and calculation of applicable transaction and processing fees will be disclosed through the applicable payment feature, checkout page, or business payment settings.

Gryd does not adjudicate disputes concerning the quality, completion, legality, pricing, taxation, cancellation, or performance of services provided by a business. Such disputes are solely between the customer and the business. Payment reversals, refunds, ACH returns, chargebacks, disputes initiated through a financial institution, and related payment-network proceedings may nevertheless be administered or processed through Stripe. Gryd may perform administrative actions required by Stripe, applicable payment networks, law, or reasonably necessary to protect the Platform without assuming responsibility for deciding the underlying service dispute.

Users and businesses are responsible for determining, collecting, reporting, and remitting sales taxes and any other local, state, or federal taxes or financial obligations arising from their activities, transactions, income, services, or use of the Platform, to the extent permitted by applicable law. Gryd does not automatically calculate taxes and does not provide legal, accounting, or tax advice. Nothing in these Terms transfers or eliminates any tax obligation that applicable law independently imposes on Gryd.

All fees charged by Gryd, including Gold Verification fees and the one percent (1%) platform transaction fee, are non-refundable once earned or incurred, except where a refund is required by applicable law or expressly authorized by Gryd in writing. A cancellation, refund, reimbursement, credit, chargeback, ACH return, payment reversal, or other resolution between a customer and a business does not automatically result in a refund of fees charged by Gryd.

Payment processing is provided through Gryd's third-party payment provider, Stripe. Use of payment features may be subject to Stripe's additional terms, privacy policies, identity-verification requirements, fraud reviews, payment-verification procedures, chargeback rules, account restrictions, and compliance requirements.

13. Service Availability, Changes, and Platform Limits

Gryd may change, update, suspend, limit, restrict, replace, remove, or discontinue any part of the Platform at any time, with or without notice.

Gryd may limit the availability of features, accounts, content, referrals, communications, business tools, payment tools, search tools, verification tools, or other Platform functionality based on account type, business type, user status, verification status, location, compliance requirements, security risk, operational needs, subscription status, or other reasonable factors.

Gryd may restrict, suspend, terminate, limit, or refuse access to the Platform if we believe you have violated these Terms, violated law, misused the Platform, created risk, disrupted the Platform, harmed users, harmed businesses, failed to pay required fees, or acted in a way inconsistent with the intended purpose of the Platform.

Gryd does not guarantee that the Platform will always be available, uninterrupted, error-free, secure, current, complete, or compatible with every device, browser, operating system, or third-party service.

Gryd is not a storage, backup, archive, records management, or document retention service. You are responsible for maintaining your own copies of information, content, documents, records, communications, business information, project information, payment records, tax records, and other materials that are important to you or your business, except where Gryd is legally required to retain or provide certain information.

14. Other Users, Businesses, Content, and Third-Party Services

The Platform may contain content, information, communications, offers, profiles, referrals, posts, comments, project details, business details, customer details, services, links, or materials provided by users, businesses, customers, organizations, or third parties.

You acknowledge that information provided by other users or third parties may be inaccurate, incomplete, outdated, misleading, offensive, unlawful, harmful, or otherwise unreliable. You are responsible for evaluating and verifying information before relying on it.

Gryd does not guarantee the accuracy, quality, legality, safety, reliability, honesty, financial condition, licensing, insurance status, professional qualifications, availability, performance, or conduct of any user, customer, business, organization, contractor, employee, vendor, service provider, or third party.

Gryd may help users and businesses discover, communicate, coordinate, refer, schedule, estimate, or transact with one another, but Gryd does not control, supervise, direct, employ, endorse, guarantee, or assume responsibility for any user, business, customer, contractor, employee, vendor, service provider, product, service, project, referral, estimate, payment, communication, or relationship.

Any transaction, project, service, referral, estimate, communication, dispute, agreement, or relationship between users is solely between those users, except where Gryd expressly states otherwise in writing.

The Platform may integrate with or link to third-party services, including payment processors, hosting providers, identity verification providers, communication providers, analytics providers, mapping services, or other tools. Gryd is not responsible for third-party services, third-party terms, third-party privacy practices, third-party content, or third-party failures.

15. Intellectual Property

The Platform and all content, features, software, systems, designs, trademarks, logos, trade names, databases, business methods, workflows, interfaces, graphics, text, code, algorithms, and functionality owned or controlled by Gryd are protected by copyright, trademark, trade secret, database, and other intellectual property laws.

Except for rights expressly granted in these Terms, Gryd reserves all rights, title, and interest in and to the Platform and Gryd-owned materials.

You may not copy, modify, distribute, sell, lease, reverse engineer, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or exploit any part of the Platform except as expressly permitted by Gryd or as necessary for your authorized use of the Platform.

You may not use Gryd’s name, logos, trademarks, trade names, branding, domain names, designs, or confusingly similar marks without Gryd’s prior written consent.

All third-party trademarks, logos, names, and brands are the property of their respective owners.

16. Complaints, Reporting, and Content Review

Gryd provides tools or contact methods for reporting content in the Support Ticket area under account settings. You may report accounts, businesses, communications, intellectual property concerns, privacy concerns, safety concerns, fraud, scams, misuse, violations of these Terms, or crimninal activity.

If you find CSAM (Child Sexual Abuse Material) on the Gryd platform, contact the authorities immediately and send a Support Ticket with any related evidence, do not share any CSAM material in our upload evidence portion of the Support section, you can upload photo evidence of the suspected profile involved or a photo of the username along with times and dates but not CSAM.

You may report content or conduct that you believe violates these Terms, violates your rights, violates another person’s rights, violates law, or creates safety, security, business, or platform risk.

To the extent permitted by law, Gryd may remove, restrict, disable, preserve, review, investigate, or take action regarding content, accounts, communications, features, services, or information if we believe doing so is reasonably necessary to:

Enforce these Terms;

Protect Gryd, users, businesses, customers, or the public;

Prevent fraud, scams, scraping, data mining, abuse, spam, harassment, or misuse;

Comply with law, legal process, or regulatory obligations;

Avoid or reduce legal, financial, operational, reputational, or security risk;

Respond to complaints, intellectual property concerns, privacy concerns, safety concerns, or rights-based requests.

Gryd may take action against serious or repeated violations, including warnings, content removal, account restrictions, feature limits, suspension, termination, or other appropriate action.

Gryd is not required to monitor all content or resolve every dispute between users. Failure to remove content or restrict an account does not mean Gryd approves of the content or conduct.

17. Termination

You may stop using the Platform at any time. Where account closure features are available, you may close your account subject to these Terms, legal retention requirements, pending transactions, open disputes, security obligations, and technical limitations.

Gryd may suspend, restrict, or terminate your account or access to the Platform at any time, with or without notice, including for violation of these Terms, violation of law, nonpayment, suspected fraud, platform misuse, data scraping, safety concerns, security concerns, legal risk, business risk, inactivity, or conduct inconsistent with the intended purpose of the Platform.

Upon termination, your right to access and use the Platform ceases immediately.

The following provisions survive termination: payment obligations, content licenses to the extent described in these Terms, feedback rights, intellectual property rights, data restrictions, confidentiality-related obligations, disclaimers, liability limitations, indemnification, dispute resolution, governing law, general terms, and any obligations that by their nature should survive termination.

Any amounts owed before termination remain owed after termination.

18. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRYD DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AVAILABILITY, ERROR-FREE OPERATION, QUIET ENJOYMENT, AND COURSE OF DEALING.

Gryd does not guarantee that:

The Platform will be uninterrupted, secure, timely, accurate, complete, or error-free;

The Platform will meet your business, financial, marketing, referral, customer, project, or operational expectations;

The Platform will produce any particular customer relationship, referral, revenue, sale, project, job, business opportunity, verification result, payment result, marketing outcome, ranking, visibility, or business result;

Any user, business, customer, contractor, employee, vendor, organization, profile, referral, estimate, message, post, content, or information will be accurate, lawful, safe, reliable, qualified, insured, licensed, verified, or trustworthy;

Any content, output, recommendation, ranking, verification, label, badge, notification, or information on the Platform is complete, current, accurate, or suitable for your purpose.

You are responsible for independently verifying information before relying on it, entering into transactions, performing services, hiring or working with any person outside the Platform, relying on business information, making payments, accepting referrals, or making business decisions.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRYD, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SERVICE PROVIDERS, CONTRACTORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM.

THIS LIMITATION INCLUDES DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST GOODWILL, REPUTATIONAL HARM, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF CONTENT, LOSS OF CUSTOMERS, LOSS OF REFERRALS, FAILED TRANSACTIONS, FAILED PROJECTS, PAYMENT DISPUTES, USER CONDUCT, THIRD-PARTY CONDUCT, OR UNAUTHORIZED ACCESS, EVEN IF GRYD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRYD’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT PAID BY YOU TO GRYD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
  2. ONE HUNDRED DOLLARS ($100).

Some jurisdictions may not allow certain limitations of liability. In such cases, the limitations will apply to the fullest extent permitted by applicable law.

20. Indemnification

You agree to indemnify, defend, and hold harmless Gryd, its owners, officers, directors, employees, agents, affiliates, service providers, contractors, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

Your breach of these Terms;

Your use or misuse of the Platform;

Your account activity;

Any content you post, upload, transmit, or make available through the Platform;

Any business activities, referrals, projects, services, communications, transactions, payments, disputes, or relationships conducted through or related to Gryd;

Any claim that your content, conduct, business activities, or use of the Platform infringes, violates, or misappropriates any third-party rights;

Your unauthorized collection, scraping, mining, sale, disclosure, transfer, or commercial exploitation of Platform data;

Your use of the Platform as an unauthorized hiring, recruiting, job application, staffing, employment, payroll, or human resources system;

Your false or misleading representation regarding your age, citizenship, residency, location, identity, business affiliation, authorization, or eligibility to use the Platform;

Your violation of law, regulation, tax obligation, licensing obligation, employment obligation, contractor obligation, privacy obligation, intellectual property obligation, or contractual obligation.

Gryd reserves the right to control the defense of any matter subject to indemnification, and you agree to cooperate with Gryd’s defense of such claims.

21. Governing Law and Dispute Resolution

These Terms, the Privacy Policy, and any dispute, claim, or controversy arising out of or related to the Platform, your account, your use of the Platform, or your relationship with Gryd shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws principles.

The parties acknowledge that Nevada has a reasonable relationship to these Terms and the Platform because Gryd’s ownership, management, operations, decision-making, or business activities may include Nevada-based owners, managers, personnel, records, compliance activity, or other business connections.

Any disputes arising out of or related to these Terms, the Privacy Policy, or the Platform shall be resolved exclusively in the state or federal courts located in Carson City, Nevada, unless otherwise required by applicable law. You consent to the personal jurisdiction and venue of those courts.

Nothing in this section is intended to limit any rights that cannot be waived under applicable law, including any mandatory consumer protection, privacy, payment, or other legal rights that may apply despite the parties’ choice of Nevada law.

22. General Terms

These Terms, together with the Privacy Policy and any additional terms presented for specific features, constitute the entire agreement between you and Gryd regarding the Platform and supersede all prior or contemporaneous agreements, communications, or understandings regarding the Platform.

If any provision of these Terms is found unenforceable, invalid, or unlawful by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will remain in full force and effect.

Gryd’s failure to enforce any provision of these Terms does not waive Gryd’s right to enforce that provision or any other provision later.

You may not assign, transfer, delegate, sell, or sublicense your rights or obligations under these Terms without Gryd’s prior written consent. Gryd may assign, transfer, or delegate these Terms, in whole or in part, in connection with a merger, acquisition, restructuring, financing, sale of assets, change of control, corporate transaction, or transfer of the Platform.

There are no third-party beneficiaries to these Terms unless expressly stated otherwise.

Headings are provided for convenience only and do not affect interpretation.

Privacy Policy

1. Information We Collect or Infomation Collected by Third Parties

We may or an accepted third party may collect the following categories of information:

Account and Business Information: Name, email address, phone number, username, password credentials, business details, business ownership or authorization information, profile content, business profile information, and verification-related information.

Payment Information: Payment and transaction information processed securely through third-party payment processors, such as Stripe. Gryd does not store full credit card numbers unless expressly stated otherwise.

Eligibility Information: Information you provide regarding ID/Selfie or credit card/ACH/debit card is handled through our Stripe Identity and Stripe Payments processing. Any data you provide through verification, or website ownership or Business documentation is handled on our Gryd Hosted Platform (Which is hosted on Google Cloud) and our email verification is handled through Google/Microsoft email authentication system that is hosted by Google and Microsoft.

Communications and Content: Messages, posts, comments, referrals, project communications, scheduling information, files, images, business communications, and other content shared within Gryds or through the Platform.

Cookies and Similar Account Access Technologies: Gryd may use cookies or similar technologies only as necessary for account security, email authentication, login functionality, session management, and user ease of access to account information. Gryd does not currently use cookies for advertising, third-party behavioral tracking, or selling user data.

Verification and Compliance Information: Information used to verify users, businesses, payments, business ownership, identity, authorization, eligibility, fraud prevention, or compliance with these Terms.

Gryd does not currently collect or track IP address, browser type, device information, operating system, pages viewed, login activity, security logs, or analytics or behavioral tracking purposes.

Third-party service providers used by Gryd, such as payment processors (Stripe), hosting providers (Google Cloud), authentication providers (Google/Microsoft Email Authorization), security tools, or infrastructure providers, may collect certain technical, transactional, device, or security-related information according to their own policies and as necessary to provide their services.

Gryd may keep and store any information, after being flagged by any user in the Support Ticket Page, in accordance with an ongoing criminal or legal dispute and will prompty delete that information when authorized to do so following a criminal investigation or court ordered audit by the apporpriate authorities in charge of that investigation or dispute.

2. How We Use Your Information

We use your information to:

Provide, operate, maintain, and improve the Platform;

Create and manage accounts;

Process payments and transactions;

Facilitate referrals, business networking, customer-to-business relationships, project coordination, scheduling, and communications;

Verify users, businesses, ownership, payment status, account authorization, email ownership, website ownership, credit card eligibility or payment eligibility;

Detect, prevent, and respond to fraud, spam, abuse, scraping, data mining, unauthorized data use, security incidents, and violations of these Terms;

Provide customer support;

Communicate with you about your account, transactions, updates, policy changes, and Platform activity;

Comply with legal obligations, law enforcement requests, court orders, regulatory obligations, and dispute resolution requirements;

Protect the rights, safety, property, and interests of Gryd, our users, businesses, customers, service providers, and the public.

3. Information Sharing

We do not sell personal or business data.

We may share information with:

Service providers who help us operate the Platform, including payment processors, cloud hosting providers, analytics providers, security providers, customer support providers, communication providers, verification providers, and infrastructure providers;

Other users as necessary to provide Platform features, such as profiles, referrals, communications, project coordination, scheduling, business networking, and customer-to-business relationship features;

Law enforcement, regulators, courts, government authorities, or other parties when required by law, subpoena, court order, legal process, or when we believe disclosure is necessary to protect rights, safety, security, or property;

Professional advisors, including attorneys, accountants, auditors, insurers, and consultants;

Parties involved in a merger, acquisition, financing, restructuring, bankruptcy, sale of assets, or similar business transaction.

We do not permit unaffiliated third parties to use the Platform to mine, scrape, harvest, sell, license, broker, or commercially exploit customer, user, business, profile, referral, communication, or Platform data without Gryd’s prior written consent.

4. Data Security

We implement reasonable administrative, technical, and physical safeguards designed to protect information from unauthorized access, disclosure, alteration, destruction, misuse, and loss.

However, no security system is infallible. We cannot guarantee absolute security of any information transmitted to, stored by, or processed through the Platform.

5. Children’s Privacy

The Platform is not directed to children under 18. We do not knowingly collect personal information from anyone under 18. If we become aware that we have collected such data, we will delete it promptly.

Use of the Platform by individuals under 18 is prohibited.

6. Your Rights

You may request access to your data by visiting the Export Data page within account settings. You have a right to delete your data according to several US based laws. Many of our features allow for immediate deletion of user generated content such as posts, messages, profile information, comments. Other features can only be deleted when you choose to delete your account under Delete Account within profile settings, your data will either be deleted or anoymized (it will not be possible to link your past personal data to anonymized data). Account anonymization within certain circumstances must occur to maintain the integrity of our database and services, you can delete your account only after you have paid any outstanding referral payments that you owe. We may be forced to store personal data in order to comply with an ongoing criminal investigation and/or legal dispute until such data is no longer necessary for use by the proper court authorities and/or investigative authorities. We will respond to requests in accordance with applicable law. We may need to verify your identity before processing certain requests. We may retain certain information where permitted or required by law, including for security, fraud prevention, legal compliance, dispute resolution, backup, or enforcement purposes.

7. Data Retention

We reserve the right to suspend and lock you out of your account access at any time when your account is in violation of our terms and/or your account is undergoing a criminal investigation and/or your account is involved in a legal dispute. We will keep you locked out of your account until we have gathered the necessary data to comply with any court order and/or criminal investigative team and/or our legal team. Once your data has been collected for our compliance you will be able to access your account unless we feel your account must be deleted to ensure the safety of the Gryd network.

We retain information for as long as reasonably necessary to provide the Platform, operate our business, comply with legal obligations, resolve disputes, enforce agreements, prevent fraud or abuse, maintain security, and protect our rights and users.

When information is no longer needed, we may delete, anonymize, aggregate, or securely retain it as permitted by applicable law.

8. Changes to This Privacy Policy

We may update this Privacy Policy from time to time. Material changes will be posted with a new “Last Updated” date or otherwise communicated by a reasonable method. Continued use of the Platform after changes are posted or provided constitutes acceptance of the updated Privacy Policy.
